UNIQUE MODEST BRIDAL - GENERAL CONTRACT FOR STORES

TERMS AND CONDITIONS:

1. These are Wholesale Pieces:

   Orders are processed within 72 hours. The dresses purchased are wholesale pieces. Unique Modest Bridal LLC does not take any responsibility for ensuring perfect sizing for your customers. Therefore, it is recommended that accurate sizing and measurements be provided. If you base the order on a size chart, there is still a 50% chance that alterations may be needed. To account for this, extra fabric will be sent on the sides of each dress.

2. Non-Refundable Order:

   The customer agrees that all dresses ordered are non-refundable. This is a wholesale sample order, and once the order is placed and the balance is paid, there will be no returns, refunds, or exchanges. No disputes will be accepted, even upon the arrival of the product, if the customer is dissatisfied with the fit, color, or any aspect of the item. We encourage careful measurements and customization requests to avoid any issues.

3. Legal Compliance:

   Unique Modest Bridal LLC is a legally registered vendor in the state of New York (EIN: 93-3195001). All contracts and transactions are governed by the laws of the state of New York. The company is also a participant in the New York Women-Owned Business (WIB) Directory, based in New York City: nywib.org/businesses/238533/.

4. Manufacturing and Shipping Timeline:

   a) After placing the order, manufacturing will take approximately 20 business days to sew the dresses.

   b) Shipping will require an additional 5 to 20 business days, excluding holidays and weekends. However, due to potential delays and increased holiday traffic, production times may extend up to 45 days.

   c) The store will be notified upon shipping 5 days before to prepare for the payment. Upon shipping, the store must pay the remaining balance within 24 hours to ensure timely dispatch, as the factory is currently handling a high volume of orders. If the store is unable to pay the remaining balance on time and requests a delay in shipping, a facility storage fee of $5 per dress per day will be applied and added to the final bill.

   d) This is part of our shipping process: All products are securely packaged in a box or package. Due to shipping circumstances, it is normal for the dress to arrive wrinkled and may require ironing. After receiving the dress, it is the customer's responsibility to handle dry cleaning and ironing. Unique Modest Bridal is not responsible for any issues related to the dress not being ironed.

   e) Unique Modest Bridal will not be responsible for shipping delays due to emergencies, unconditional weather, or any other irregular circumstances.

5. Lost Packages:

   In the event of lost packages (very rare), the merchant agrees to either replace the lost package or ensure compensation through the applicable insurance policy. The client acknowledges that such replacement or insurance coverage serves as a full resolution for lost packages. The client is responsible for actively tracking shipments to ensure their timely arrival and must promptly notify the merchant of any issues. While Unique Modest Bridal will monitor shipment tracking, the client should not rely solely on the merchant for this purpose.

6. Product Quality and Defects:

   a) Please note that all model photos are for display purposes only and may differ slightly from the actual product. Unique Modest Bridal will manufacture the dresses to the best of our ability to match the displayed designs, though variations in color, texture, and lace may occur, as pictures can never fully capture the true details. To provide a more accurate representation of our dresses, Unique Modest Bridal offers live photos and a sample package of laces and fabrics showcasing the craftsmanship of our factory.

   b) Minor variations in fabric, color, or minor sewing errors such as stitches or strings out of place shall not be considered defects. Defects must be reported within 48 hours of delivery. Upon receiving evidence, such as photos and videos, Unique Modest Bridal will offer a replacement or store credit for the item, but no refunds will be provided.

7. Payment:

   a) Payment can be made using any legal form.

   b) We accept Stripe, PayPal, wire bank transfers, Zelle, and credit cards. Please choose the payment method that works best for you.

   c) If you wish to make a wire transfer, here are the details:

   d) A 50% deposit is required upon placing the order, and the remaining 50% must be paid before shipping. Once the final payment is made, you will receive a tracking number, which will serve as proof of delivery.

   Credit Card Payments:

   a) Non-Refundable Products and Waiver of Chargeback Rights: The client acknowledges that all products purchased are custom-designed and specially manufactured to meet their specific needs. These items are not held in stock and cannot be revised or resold. Due to the bespoke nature of these products and the associated factory costs, they are non-refundable. By authorizing payment via credit card, the client agrees to waive any rights to dispute charges or initiate chargebacks through their credit card provider. The client further agrees not to dispute these charges with their credit card issuer.

8. Tax Information:

   The applicable tax rate is 4%, based on New York State wholesale tax laws.

Jurisdiction

This agreement and any disputes arising from it shall be governed by the laws of the State of New York and resolved exclusively within its courts.

ACKNOWLEDGMENT

By signing below, the customer acknowledges and agrees to the terms of this contract, including the non-refundable payment terms and conditions, the accuracy of the measurements provided, and the finality of the sale. The customer also agrees that this agreement will be governed by the laws of the state of New York.
